PACT Network Services - Terms of Use

These Terms of Use ("Terms") govern your access to and use of the PACT Network Services Site ("Site") and the services made available through it ("Services"). The Site is operated by the World Business Council for Sustainable Development (WBCSD) ("WBCSD"), a not-for-profit organization governed by Swiss law, and incorporated in Geneva under registration number CHF-108.244.629.

By accessing or using the Site or Services, you agree to be bound by these Terms and our  Privacy Policy. If you do not agree, you must not use the Site or Services.

  1. Definitions and Scope
  • "Site" refers to the web, mobile or any other online interface, including sub-domains and related applications, through which WBCSD offers access to PACT Network Services.
  • "Services" (or “PACT Network Services”) refers to all features made available through the Site, including the Conformance Tool, Identity Management, and any related enhancements, upgrades or new modules WBCSD may introduce from time to time. These Terms apply to all current and future features, unless a specific additional agreement is required.
  • “Privacy Policy” refers to the relevant section in these Terms and WBCSD’s Privacy Policy as found on WBCSD Website.
  • “User(s)” means any natural person or legal entity that (i) creates an account on the Site, (ii) accesses or uses the Services, or (iii) is authorized by such entity to do so; for entities, “User” includes their employees, contractors and other agents.
  • “Content” refers to, but is not limited to, any opinion, view, document, information, analysis, graphic, survey, live or remote forum, webinar, guideline, toolkit, or technical documentation and solution information shared on the Site.
  1. Purpose of the Site

The Site exists to lower barriers to adoption of the PACT standards by giving Users access to PACT Network Services.  

  1. Acceptance of Terms

By accessing the Site or using the Services, you represent and warrant that:

  • You have legal authority to accept these Terms on behalf of yourself or the entity you represent.
  • You agree to comply with these Terms, including the Privacy Policy.
  • You will only use the Site and Services in accordance with applicable law and these Terms.
  1. User Accounts

When creating an account, you must provide accurate, complete, and up-to-date information. You are solely responsible for safeguarding your password and all activities occurring under your account. You agree not to:

  • Impersonate another person or organization;
  • Submit Content that is offensive, infringing, or misleading;
  • Share your login credentials with unauthorized users.  

If you suspect any unauthorized access to or use of your account, you must notify us immediately.

  1. Intellectual Property and License

WBCSD retains all intellectual property rights in and to the Site and Services, except where stated otherwise.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Site and Services solely for their intended purpose.

  1. User Content and Feedback

You retain ownership of all Content you upload to the Site. By submitting content, you grant us a non-exclusive, royalty-free, irrevocable license to store, use, and process such Content for the purpose of operating and improving the Site and Services, including sharing anonymized usage information (including but not limited to conformance results) for PACT community benefit.

You warrant that you have all necessary rights to share the Content and that they do not infringe third-party rights. You agree that we may use feedback you provide to improve our Services without obligation or compensation to you.

You remain solely responsible for the Content shared on the Site.

  1. Acceptable Use

You agree not to use the Site or Services in any manner that violates applicable laws, including competition and antitrust laws, or infringes upon the rights of others.  

In particular, you may not:

  • Violate any laws or third-party rights;
  • Access, modify, or interfere with systems or data without proper authorization;
  • Upload or distribute malicious code or otherwise disrupt the functionality or performance of the Site;
  • Scrape, extract, or mine data without our prior written consent;
  • Use the Site or Services for purposes of competitive benchmarking, analysis or commercial exploitation unrelated to your legitimate internal use;
  • Engage in any conduct that could facilitate or result in anti-competitive behavior, including the exchange of competitively sensitive information through the Site;  
  • Collect information about other Users, including email addresses, without their consent;
  • Upload or share content that is abusive, harassing, defamatory, obscene, or discriminatory.

Any violation may result in immediate suspension or termination of your access to the Site and Services.

  1. Data Management

When you use the Site, we may collect and process information in accordance with applicable data protection laws and our Privacy Policy. This may include individual names and email addresses (collectively, “Personal Data”); organization names, organization identifiers (e.g., registration numbers), company-related metadata, and technical details such as API URLs (collectively, “Company Data”); and conformance test inputs, results, and diagnostic logs generated during testing (collectively, “Conformance Data”). We securely log and store this information to operate, maintain, and improve the Site and Services, including secure access, usage monitoring, and user support.

We may log and analyze Conformance Data to support the objectives of the PACT community, including improving the interoperability of Product Carbon Footprint (PCF) data exchange. We may use aggregated or anonymized test results for reporting, analysis, or public insights, provided they do not identify individuals or organizations. We will not disclose conformance test results in a way that attributes outcomes to you without your prior consent.

We do not store or transfer your authentication credentials used during conformance testing. These credentials are held temporarily during the test session and are automatically deleted after each test run.

The Site is not designed to receive trade secrets or confidential business logic. Do not submit any information you wish to keep private unless we have explicitly agreed to receive and protect it in writing. You are responsible for ensuring you have the right to share any data or credentials you submit.

By using the Site, you acknowledge and agree to the use of your data as described in this section and in our Privacy Policy.

  1. Service Availability, Modifications and Access

We reserve the right to modify, suspend, or discontinue the Site or Services at any time without prior notice. We make no guarantees regarding the continuous availability, error-free operation, or uninterrupted access the Site or Services. At our sole discretion and without notice, we may:  

  • Restrict access to certain portions of the Services,
  • Suspend or terminate User access to the Services, in whole or in part.  
  1. Indemnification

You agree to indemnify and hold harmless WBCSD, its affiliates, officers, directors, members, and agents from any claims, damages, or liabilities arising out of:

  • Your use of the Site or Services;
  • Your breach of these Terms;
  • Any third-party claims resulting from your Content or conduct.
  1. Disclaimers

The Site and Services are provided "as is" and "as available" without warranties of any kind. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

  • The Site will be secure, error-free, or uninterrupted;
  • Any content is accurate, reliable, or complete;
  • The Services will be free from damage to your systems or software.
  • We are not responsible for any damage to your solutions or systems resulting from use of the Site or Services, including as part of conformance testing.

The inclusion of any Content owned by third-parties doesn’t imply endorsement by WBCSD of such Content.

  1. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages, arising from or related to your use of the Site, including but not limited to, loss of profits, data loss, or business interruption. We expressly disclaim any obligation to indemnify you for any claims, damages, losses, liabilities, costs, or expenses resulting from your use of the Site, to the extent allowed by law. Where liability cannot be excluded, it is limited to CHF 100. Nothing in these Terms limits our liability for gross negligence, willful misconduct, or any liability that cannot be excluded under Swiss law.

  1. Governing Law and Jurisdiction

These Terms are governed by Swiss law. If you are based in the EU, you may benefit from mandatory consumer protection provisions of your local law. Place of jurisdiction is Geneva, Switzerland.

  1. Dispute Resolution

You agree to make an initial good faith effort to resolve any disputes informally by contacting us directly. If the matter cannot be resolved through informal discussions, and where commercially reasonable, the dispute shall be submitted to mediation before pursuing litigation. Any dispute that remains unresolved shall fall under the exclusive jurisdiction of the ordinary courts of Geneva.  

  1. Changes to Terms

We may update these Terms at any time. Material changes will be notified via the Site and/or email after taking effect. Continued use of the Site after updates indicates your acceptance.

  1. Electronic Communications and Signatures

You agree to receive communications from us electronically. These satisfy any legal requirement for written communication.

  1. General Provisions
  • Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. ‍ ‍
  • Waiver: Our failure to enforce any provision of these Terms shall not be construed as a waiver of our right to enforce such provision in the future. ‍ ‍
  • Assignment: We reserve our rights to assign and obligations under these Terms without restriction. ‍ ‍
  • Force Majeure: We shall not be held liable for delays or failure to perform due to causes beyond our reasonable control, including but not limited to natural disasters, acts of government, labor disputes or internet service interruptions. ‍ ‍
  • No Agency: Nothing in these Terms creates any agency, partnership, joint venture or employment relationship between you and WBCSD. ‍ ‍
  • Entire Agreement: These Terms constitute the entire agreement between you and WBCSD regarding your access to and use of the Site and Services.
